Incorporating a Sociedad Anónima - SA
We will incorporate a Costa Rican company for you within 2 weeks and take care of all the drafting and filling of company documents. Our Notary Public will draft and notarise the public deeds of incorporation before the Mercantile Section of the Public Registry while we will send the notice of the constitution of the company for publication in Costa Rica's official newspaper La Gaceta.
We will liaise with the tax department to register the company as tax payer and legalise the company's books on your behalf and also apply for the business license 'Patente Municipal' from the Municipality.
To incorporate, please submit the following information via the company details form.
Company Name
We will check the availability of your proposed company name and reserve the name in the Public Registry. This may be in English provided it is accompanied with the corresponding Spanish translation The company name must be followed by the words “Sociedad Anonima” or S.A. (equivalent to “Incorporated” or “Inc.”) with the purpose of identifying the nature of the business entity.
Board of Directors
At least three directors required to incorporate with no restriction placed upon the nationality or residency. Directors may be a person or a corporation.
Nominee Directors are allowed and we can provide you with this service.
Company Shareholders
A minimum of two shareholders are required for incorporation. There is no restriction placed upon the nationality or residency.
- Shareholders may be the same as the directors.
- Once incorporated a single
shareholder is permitted.

- Shareholder can be a person or a corporation.
Share Capital
There is no minimum share capital requirement for a Costa Rican company, however, at least 25 percent of the issued share capital must be paid up upon incorporation. Shares may be nominative or bearer shares. The ownership and transfer of shares are regulated by the shares chapter of the Code of Commerce.
Company Secretary
Costa Rica compnies require a company secretary to be appointed. We can act as your company secretary if required.

Formation Procedure
To start incorporating your company in the Costa Rica we require the following information:
- Your proposed company Name
- The Director/s full name, date of birth, address and nationality
- The Shareholder/s full name and address
Documents you are required to provide:
- Proof of identity. Either passport, national identity card, photographic driving licence
- Proof of residential address. Gas/electricity bill or credit/debit card bank statement dated within the last 3 months
