Limited Liability Company names must end with the suffix LLC or LC and Incorporations must end with the suffix Co, Corp, Inc or Ltd. It is also possible to use the full word rather than the abbreviation
Companies require a registered office where Secretary of State and other counterparties may legally send documents. Companies are not obliged to have their registered office in Delaware. If the companies registered office is in Delaware you may act as your own registered agent, however, if outside Delaware we will provide you with a registered agent.
Only one director of any nationality or residency is required to incorporate in Delaware.
Only a single shareholder is required with no restrictions on their nationality. Corporate shareholders are also allowed. For Limited Liability Companies are C Corporations there is no requirement to have a resident shareholder meaning 100% foreign ownership is permitted, whereas S Corporations are required to have a resident shareholder.
There is no minimum share capital.
Once we have received all the necessary documentation the incorporation process is complete in 4 days.
Proof of Identity
As part of our due diligence we require proof of identity in the form of a passport copy for all directors and shareholders of the company.
There is no requirement to visit Delaware in order to incorporate.
