Delaware Shelf Corporations & Limited Liability Companies (LLC's)

Shelf companies are corporations or LLC's that have been formed but have never been used. For the specific purpose of being a shelf company and all companies have had the annual franchise taxes and/or annual reports paid and filed with the Delaware Secretary of State each year. All companies are in Good Standing with the state of Delaware.

What is included with each Ready Made Company

Each of these companies comes with a:

• Certified Copy of Certificate of Incorporation/Formation from the state of Delaware
• A Statement of Incorporator/Organizer (the appointment of the initial directors/members)

What You Will Receive

An incorporator's resignation statement (called the Organisation Action in Writing of Incorporator) naming the initial directors of the corporation is enclosed. Some of our packages also include publications, assistance in obtaining an EIN, a corporate kit containing a company seal, and stock certificates. Your purchase includes:

• Certificate of Formation or Incorporation
• Articles of Unanimous Consent
• Customized stock or membership certificates
• Stock Transfer Ledger or Membership Interest Ledger
• Operating Agreement or Bylaws
• Corporate Seal embosser
• Special Forms, including templates for meetings of officers
• Binder imprinted with the name of your company with matching slip case.
• Registered Agent Service in Delaware for 12 months

Appointing the new Directors

You will need to sign a document confirming our resignation and appointing yourself as the new director, alternatively you can sign a Power of Attorney instructing us to sign the document on your behalf.

We will resign as the directors of the ocmpany and the company will be transferred over to you. We will then send you the official company documents, including the Certificate of Incorporation, Memorandum and Articles of Association of the company and the relevant Company Secretarial Forms.

Definition of Old Ready Made - Previously Registered Dormant Companies

We can also provide you with an aged company. This is one that we have incorporated at an earlier date and filled dormant accounts for.

You may need an aged corporation for a number fo reasons, these include:

• An enhanced corporate image, which can be achieved with age
• Other companies will do business with an older company before a brand new one
• Bidding contracts at times require a certain age to your corporation
• Obtaining bank loans is easier when you can show you have history. Most lenders require a minimum of 2 and usually 3 years history in order to establish corporate credit history
• Obtaining corporate credit cards and leases. For example, some computer companies lease only to corporations 12 months old or more
