Florida USA Limited Liability Company (LLC) Formation
Florida is an attractive jurisdiction to incorporate due to a quick incorporation process and the relaxed reporting standards meaning companies registered in Florida are not required to file accounts and director/shareholder registered offering confidentiality to the beneficial owners.
Company names must be unique and not deceptively similar to other company names registered in Florida. We are able to check that your proposed company name is appropriate. LLC company names must end with ‘Limited Liability Company’, ‘Limited Company’ or appropriate abbreviation such as ‘LLC’ or ‘LC’. The word ‘Limited’ along may not be used. Certain words such as Bank, Mortgage and Loan require approval from the Department of Financial Regulation to use.
It is not a requirement to have a registered office in Florida, however, if not then a registered agent must be appointed who has a physical address in Florida where all official correspondents may be sent. We are able to provide a registered agent in Florida if necessary.
Only one director of any nationality is required for an incorporation in Florida. There is no official public register of directors’ meaning company director details are confidential and not available to the public.
Only one shareholder is required who may be of any nationality and individuals or corporate entities. C Corporations are not required to have a resident shareholder whereas S Corporations are. There is no requirement to file shareholder registers with the authorities meaning shareholder details are not publicly available.
There is no minimum share capital requirement to incorporate in Florida.
There is no requirement for a company registered in Florida to file accounts or director/shareholder registers.

Proof of Identity
As part of our due diligence we require proof of identity in the form of a passport copy for all directors and shareholders of the company.
There is no requirement to travel to Florida in order to incorporate. Although, if incorporating an S Corporation a resident director is required so visiting Florida to arrange this may be required. We are able to appoint an appropriate resident director if required.
