Shareholders

Gibraltar companies must have a minimum of one shareholder who may be corporate or individual. 

Every year an annual return must be filed stating the shareholders of the company. In some cases, you may want a change of shareholder to be on the public record: if this is the case, we can complete a voluntary return of membership for your company.

If you never want a record of shareholders to be on public record then, you can appoint us as Nominee Shareholders for your Gibraltar company.

Directors

Gibraltar companies must have a minimum of one director who may be corporate or an individual. 

Secretaries

Gibraltar companies must have a minimum of one resident secretary who may be corporate or individual. We can provide this for you.

Registered Office Service

You are required to have a registered office in Gibraltar where all official documents are sent. We provide this service for you.

Legalising documents for your company

Many companies will wish to have bank accounts outside Gibraltar, or will want to sign public documents with a notary on behalf of the company.

For this, you will require a certificate of good standing for your company, stating the directors and (if required) the members of the company.

For a company to be in good standing it needs to be up to date in filing company accounts, filing annual returns, and having directors, secretaries and a registered address in accordance with the Gibraltar Companies (Accounts) Ordinance 1999
