Certificate of Good Standing
Only the Company for which a certificate is sought can request the granting of such a certificate. Any other person is limited to making a search and requesting certified copies of the documents on file.
Shareholder information can be on the Certificate of Good Standing and prove the status and ownership of the company.
This document from the Gibraltar Registrar of Companies includes the following:
- Particulars of the shareholders of the company on the date the certificate is issued.
- No request for striking off the company has been made.
- The company is not the subject of a voluntary winding up or a petition to wind up the company by the Court or under the supervision of the Court.
- No receiver or manager has been appointed to manage the property of the company on behalf of debenture holders or by Order of the Court.
In order to issue a Certificate of Good Standing the Gibraltar company needs to be up to date in the filing of its Annual Return.
In order to be able to include the particulars of the shareholders of the company in the Certificate of Good Standing the company would need to file a return of its members. This return would need to be dated with the same date as the request for the Certificate of Good Standing. This return of shareholders is not a statutory requirement.
