Documents and Information

To start incorporating your company in Portugal we require the following:

  • Your Company Name
  • The Director/s full name, date of birth, address and nationality
  • The Shareholder/s full name and address

Documents you are required to provide:

  1. Proof of identity. Either passport, national identity card, photographic driving licence
  2. Proof of residential address. Gas/electricity bill or credit/debit card bank statement dated within the last 3 months

Incorporating your Portuguese Lda

First Formacompany will obtain the Certificate of Approval from the National Registry of Collective Persons (RNPC) for your proposed company name. A provisional identification card of a collective person will then need to be obtain from the RNPC. You will need to Sign the deed of Incorporation or Association in the presence of a notary after the finalisation of the Articles of Association. (If you cannot visit Portugal to sign documents a Power of Attorney can be organised to sign documents on your behalf).

Formacompany then file the declaration of commencement of activities with the local tax office and register at the commercial registry (Conservatória do Registo Comercial) and the regional Social Security Office.

The Memorandum of Association will be published in the official gazette Diário da República. The Conservatória do Registo Comercial which will also ensure the final registration with the RNPC and its publication in a national newspaper. Lastly the company will be registered at the Department for Trade & Competition or at the corresponding Regional Directorate of the Ministry of Economy.

Directors

  • Directors may be of any nationality and may reside anywhere
  • Only one director is required
  • There is no requirement to appoint a local resident director
  • Names of directors do appear in public records
  • Nominee Directors are allowed. Formacompany can provide this service
  • The director can be a person or a corporation

Shareholders

  • Shareholders may be of any nationality and may reside anywhere
  • Only one shareholder is required. This can be the same person as the director
  • No upper limit to the number of shareholders
  • The shareholder can be a person or a corporation

Share Capital

For private limited companies, the minimum share capital from April 2011 was €1 for each shareholder. Separate classes of shares with different rights to dividends are permitted, subject to any restrictions in the company's Articles of Association.

Company Secretary

A Portuguese company must appoint a company secretary, who may be a person or a company. Our incorporation fee allows for a resident secretary.

Registered Office

All Portuguese businesses need a registered office where the authorities can send official letters and claims, as well as where control of the tax forms is executed. All financial and fiscal documents, registers, company papers etc. must be kept at the registered office of the business. Formacompany can provide a registered office, if you have no physical presence in Portugal.
