UK companies are the cheapest and most flexible of companies to incorporate within the European Union.
As in Europe there are three main types of company.
- The standard type is the Private Limited Company, and most incorporations are of this type.
- Limited Liability Partnership
- Public Limited Company (PLC) - the company's shares may be offered for sale to the general public and have a minimum share capital of around £50,000.
UK Company Incorporations for overseas clients

Do I need to be a UK citizen or a UK resident to set up a UK company?
- You do not need to be a UK citizen or a UK resident

- The UK company can be incorporated even though it does not trade in the UK
- You do not need to have premises in the UK
Unlike other jurisdictions, there are no restrictions on incorporating a UK company.
Protection of Business Name
Registration legally protects your company name against anyone else incorporating a similarly named limited company.
The Memorandum of Association
This document sets out:
- The company's name
- Where the registered office of the company is situated (in England, Wales or Scotland); and
- What it will do (its objects). The object of a company may simply be to carry on business as a general commercial company.
Minimum number of officers
A private company only requires one director
A public company must have at least two directors and a secretary - formally qualified
A private limited company.
- A limited company is owned by shareholders who in the event of the business failing are protected by the limited liability.
- Limited liability means that the shareholders potential exposure to the debts and liabilities of the company are limited to the amount that they have agreed to contribute to the company (the issued share capital)
- Personal assets of directors and shareholders cannot be used to pay off the company debts.
- A limited company continues to trade irrespective of changes in directors, secretary, management and or ownership.
- A limited company is entitled to take legal actions in its own name (as opposed to the name of its owners).
- Enter legal contracts and own property.

| 1 Form SH01 Return of Allotment of Shares | Within a month of the allotment of shares, a return on Form SH01 must be delivered to the Registrar of Companies. |
| 2 Forms AP01 Appointment of Director or Company Secretary AP03 | These forms should be completed and returned to us within 10 days from the appointment of a Director or Secretary. |

| Form AA01 Accounting Reference Date | A company's financial year will end one year after incorporation. Should you wish to change it to say March or December you change it by completing form AA01 |
