Luxembourg - Company Incorporation
Procedure for incorporating:
The Articles of Incorporation must be prepared in the form of a deed and this deed should include:
- Name of the person(s) wishing to incorporate a corporate entity.
- Address of the Registered Office.
- Amount and currency of the capital paid up.
- Type and class of shares.
- Voting rights for shareholders.
- Names, addresses and nationalities of the proposed Directors.
In addition, a Certificate of Name acceptability issued by the Department of Commerce is required, together with a certificate from Luxembourg Bankers confirming that the amount of paid up capital is reserved for the constitution. These documents and related information must then be presented before a Notary. After notarisation we then lodge the Articles of Incorporation and bylaws with the Department of Commerce and Trade. The Articles of Incorporation are then published in the Official Gazette.
