Spanish Limited Company - Sociedad Limitada SL
The basic Limited Company is the SL the Sociedad Limitada and is very similar to the private limited company in other EU countries.
Only one administrator/director is needed, who can be of any nationality.
It is possible to have limited duration articles in the company statutes, but most companies are incorporated in perpetuity.
The minimum share capital of €3,000 has to be in a spanish bank account at the time of incorporation, but can then be used as the directors want.
There is no minimum number of shareholders. When a shareholder is a foreign company its investment in the Spanish company will have to be registered before the Foreign Investment General Directorate. This registration has no effect other than keeping a record of foreign investments in Spain.
There is only one national register, although this is split through provincial administration. The first registered office has to be in the Province of Incorporation, although this can be changed freely.
