Forming a Company in Spain

Register the Name

Go to the registry in Principe de Vergara - complete the "certificado negativo de nombre" they ask for the person who registers the name (one of the administrators), names applied for (in order of preference, ideally made up of two different names, as this makes it easier to get the name), type of company (best a SL as it is cheaper to pay in capital and pay the Hacienda). Payment is around €6. Get the certificate back after about a week.

Get the Provisional CIF

You have to go to the Delegación de Hacienda in the district where the registered office is going to be. Go to the 'Solicitud de CIF' window and take the 'certificado negativo de nombre' together with a photocopy, and a minuted entry stating that a company will be incorporated (Hacienda can give a blank one of these), a copy and the original of the DNI of the administrator who has signed the certificate and the form 037 - filling in only the box applying for a NIF and the data of the company (name and registered office). This document has to be signed by the authorised person.

Opening a Bank Account

Take the "certificado negativo de nombre" and the CIF. Once the account is opened, the capital must be put in (3010€) and you have to get a certificate stating that the capital has been put in.

Documentation to the Notary

  • Reservation of Name Certificate.
  • Bank Deposit Certificate.
  • CIF number.
  • DNI of the administrator.
  • Object clause (what the company will do).

This takes three days. All the Administrators have to sign.

Register of Public Deeds (Actos Jurídicos Documentados).

Go to Hacienda of the Community of Madrid c/ General Martinez Campos, with the statutes, a "copia simple", a photocopy of the Statutes, a copy of the NIF and a photocopy and the form 600 completed.
