Procedure after Incorporation

The following are the important duties once the Certificate of Incorporation has been issued.

  • Write up the Register of Members and keep at the Registered Office.
  • Write up the following registers and keep at the Registered Office: Register of directors, Register of secretaries, Register of directors' interests.
  • If any mortgage is created, file form 395 within 21 days.
  • Hold the first meeting of directors.
  • File the return of allotments within one month after first meeting on form 88(2) (revised).
  • Consider whether the financial year end (accounting reference date) is to be 31st Dec / 31st March or some other date and complete form 225.
  • Ensure that the company's name is fixed conspicuously and legibly outside every place where it carries on business.
  • Ensure that the company's stationery shows all the necessary legal and other details.
